These Affiliate Program Terms and Conditions ("Agreement") govern participation in the affiliate marketing program (the "Program") operated by Paidvine, Inc. ("Paidvine," "Company," "we," "us," or "our"), a company with its principal place of business in Charleston, South Carolina. By applying to, enrolling in, or participating in the Program, the applicant ("Affiliate," "you," or "your") agrees to be bound by this Agreement in full. If you do not agree to these terms, you may not participate in the Program.
Paidvine operates a consumer rewards platform through which members earn cash compensation for completing online surveys. The Program allows approved Affiliates to earn commissions by referring new members ("Referred Users") to Paidvine using tracking links, creative assets, and other promotional methods provided or approved by Paidvine.
Paidvine reserves the right, in its sole discretion, to modify, suspend, or discontinue the Program, or any portion of it, at any time and for any reason, subject to Section 14 (Modification of Terms).
To participate in the Program, an applicant must:
Paidvine reserves the right to reject any application, or to revoke previously granted approval, without obligation to provide a reason, subject to applicable law.
Upon submission of an application, Paidvine will review the Affiliate's proposed traffic sources, promotional methods, and marketing history. Approval is not guaranteed and may be conditioned on specific traffic sources, geographies, or promotional formats. Affiliates approved for the Program will be issued a unique tracking ID and access credentials to the Program's affiliate tracking platform (currently Trackier or its successor, the "Tracking Platform").
Affiliates are responsible for maintaining the confidentiality of their account credentials and are liable for all activity conducted under their account, including activity by subaffiliates or sub-networks approved under Section 6.
All referrals are tracked exclusively through the Tracking Platform via unique affiliate links, pixels, postbacks, or server-to-server (S2S) integrations provided by Paidvine. Paidvine's Tracking Platform data is the sole and authoritative source for determining referral attribution, conversion validity, and commission eligibility, absent demonstrable technical error.
Unless otherwise specified in an Affiliate's approved insertion order, the attribution (cookie) window is thirty (30) days from initial click. Attribution is generally last-click, subject to Paidvine's fraud and quality review.
Affiliates may not alter, obscure, spoof, or interfere with tracking links, pixels, or parameters, and may not use any method to generate false, inflated, or fraudulent click or conversion data.
Commissions are earned on a cost-per-acquisition (CPA) basis for each qualifying Referred User who completes the approved conversion event (e.g., verified account registration and/or first completed survey, as specified in the Affiliate's approved offer terms within the Tracking Platform).
The Program uses a two-tier commission structure:
All commissions are subject to review and validation. Paidvine may withhold, reverse, or reclaim commissions attributable to invalid, duplicate, fraudulent, incentivized (where prohibited), or otherwise non-compliant traffic, as determined in Paidvine's reasonable discretion.
Affiliates may not recruit sub-affiliates, resell Program access, or operate a sub-network without Paidvine's prior written approval. Where approved, the recruiting Affiliate remains fully responsible for the compliance of its sub-affiliates with this Agreement, and Paidvine may hold the recruiting Affiliate liable for violations committed by its sub-affiliates.
Payments are issued on a Net-30 basis following the close of each calendar month, provided the Affiliate has accrued validated commissions equal to or exceeding the minimum payout threshold of $50.00 USD (or local currency equivalent). Balances below the threshold will roll over to the following payment cycle.
Payments are issued via the method(s) supported by the Tracking Platform at the time of payout (which may include ACH, PayPal, wire transfer, or other methods Paidvine may make available). Affiliates are responsible for providing accurate payment information and for any fees or tax withholding obligations associated with their chosen payment method.
Affiliates are solely responsible for reporting and remitting any taxes owed on commissions earned. Where required by law, Paidvine may request tax documentation (e.g., Form W-9 or W-8BEN) prior to releasing payment, and may withhold payment until such documentation is provided.
Paidvine reserves the right to withhold payment during any period in which an Affiliate's traffic, conversions, or compliance status is under active review.
Affiliates agree to promote Paidvine truthfully, professionally, and in compliance with all applicable laws, including but not limited to the FTC Endorsement Guides, CAN-SPAM Act, Telephone Consumer Protection Act (TCPA), and equivalent consumer protection and marketing laws in Canada (CASL) and the United Kingdom (PECR/UK GDPR), as applicable to the Affiliate's traffic geography. The following are strictly prohibited and will result in commission forfeiture and may result in immediate termination:
Paidvine reserves the right to conduct compliance audits of Affiliate traffic sources and promotional properties at any time.
Paidvine grants Affiliate a limited, non-exclusive, non-transferable, revocable license to use Paidvine-provided trademarks, logos, and creative assets solely for the purpose of promoting the Program in accordance with this Agreement. This license terminates automatically upon termination of the Affiliate's participation in the Program. Affiliate acquires no ownership interest in any Paidvine intellectual property.
Affiliate retains ownership of original creative content it independently develops, subject to Paidvine's right to require removal of any content that violates this Agreement.
Affiliate agrees to keep confidential any non-public information disclosed by Paidvine in connection with the Program, including CPA rates, offer terms, platform data, and business strategy, and to use such information solely for purposes of performing under this Agreement.
This Agreement remains in effect until terminated by either party. Affiliate may terminate participation at any time by providing written notice to Paidvine. Paidvine may suspend or terminate an Affiliate's participation immediately, with or without cause, and with or without notice, including in cases of suspected fraud, policy violation, or reputational risk to Paidvine.
Upon termination, Affiliate must immediately cease use of all Paidvine trademarks, tracking links, and creative assets. Commissions validated prior to termination will be paid in accordance with Section 7; commissions associated with fraudulent, invalid, or policy-violating activity are forfeited regardless of termination timing.
Affiliate participates in the Program as an independent contractor. Nothing in this Agreement creates an employment, agency, partnership, or joint venture relationship between Paidvine and Affiliate. Affiliate has no authority to bind Paidvine to any obligation.
Paidvine may modify this Agreement at any time by posting updated terms or providing notice through the Tracking Platform or Affiliate's registered email address. Continued participation in the Program following such notice constitutes acceptance of the modified terms. Material changes to commission structures will be communicated with reasonable advance notice where practicable.
THE PROGRAM AND TRACKING PLATFORM ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. PAIDVINE DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OF THE TRACKING PLATFORM.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAIDVINE'S TOTAL LIABILITY TO AFFILIATE UNDER THIS AGREEMENT SHALL NOT EXCEED THE COMMISSIONS ACTUALLY PAID TO AFFILIATE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL PAIDVINE BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
Affiliate agrees to indemnify, defend, and hold harmless Paidvine and its officers, employees, and affiliates from any claims, damages, or expenses (including reasonable attorneys' fees) arising from Affiliate's breach of this Agreement, violation of applicable law, or promotional activities conducted under the Program.
This Agreement is governed by the laws of the State of South Carolina, without regard to its conflict of laws principles. Any dispute arising under this Agreement shall be resolved exclusively in the state or federal courts located in Charleston County, South Carolina, and the parties consent to personal jurisdiction therein.
